Galina Petrova, Partner
Galina Petrova is admitted to the Paris and Sofia Bars and is a partner at Alphard Law, where her practice is dedicated to financing and mergers and acquisitions. She acts on a wide range of financing transactions, from corporate lending to leveraged acquisition finance, for French and international clients: banks, investment funds and corporates.
She advises clients on syndicated and structured financings, drafting the finance documents, facility agreements and subordination agreements, and the security documentation, including pledges over securities accounts, pledges of shares in limited companies, pledges of business assets and pledges and assignments of receivables. She is known for anticipating and mastering the complex issues these transactions raise.
Galina Petrova has also developed solid experience in mergers and acquisitions, advising clients on business combinations, changes of ownership, disposals and restructurings of shareholdings. She negotiates and drafts share purchase agreements, shareholders' agreements and representations and warranties packages, together with their corporate law implications: capital increases and reductions, mergers, partial business transfers and universal transfers of assets and liabilities.
Drawing on her experience at the New York firm Kramer Levin Naftalis & Frankel, followed by a period at the British firm Simmons & Simmons, she has refined a technical command of market documentation, both French and Anglo-American.
At Alphard Law, she leads the corporate and financing execution of transactions whose tax structuring is handled by the firm's tax practice, allowing a deal to be run end to end without intermediation between several advisers.
